ROUNDERS provides digital marketing services including but not limited to: paid advertising management, lead generation, email and SMS marketing, conversion rate optimization (CRO), website development, content creation, and web design. The specific services provided will be outlined in individual service agreements or proposals.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant necessary access to accounts, platforms, and assets required for our services
- Respond to communications and requests in a timely manner
- Pay all fees as outlined in your service agreement
- Comply with all applicable laws and platform policies
- Not engage in fraudulent, deceptive, or illegal activities
4. Payment Terms
Payment terms are as follows:
- All fees are due as specified in your service agreement or invoice
- Late payments may incur additional fees or service suspension
- Ad spend budgets are separate from service fees and are payable directly to advertising platforms or as arranged
- Refunds are subject to the terms outlined in your individual service agreement
- We reserve the right to adjust pricing with 30 days written notice
5. Intellectual Property
All content, materials, and intellectual property created by ROUNDERS remain our property until full payment is received. Upon full payment, clients receive a license to use deliverables for their intended purpose. Our proprietary methods, strategies, and processes remain our exclusive intellectual property.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, customer data, financial information, and trade secrets. Confidentiality obligations survive the termination of services.
7. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind. While we strive to deliver excellent results, we do not guarantee specific outcomes such as sales figures, lead volumes, or return on investment. Marketing results are influenced by numerous factors beyond our control, including market conditions, competition, and product quality.
8. Limitation of Liability
To the maximum extent permitted by law, ROUNDERS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless ROUNDERS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these terms, your use of our services, or any content you provide that infringes on third-party rights.
10. Termination
Either party may terminate services according to the terms specified in the service agreement. Upon termination, you are responsible for payment of all services rendered. We may immediately terminate services if you breach these terms or engage in activities that could harm our reputation or business.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or our services shall be resolved through binding arbitration or in the courts of competent jurisdiction.
12. Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
